These Terms & Conditions ("Terms") govern your use of intelligentmaterial.com and its related pages (the "Site"), operated by Intelligent Material Solutions, Inc. ("IMS", "we", "us"). By using the Site you agree to these Terms. If you do not agree, please do not use the Site.
1. About the Site
The Site provides general information about IMS, its engineered rare-earth materials, research programs and intellectual property. Content is provided for information only. It is not an offer to sell, a technical specification or a guarantee of performance for any particular application.
2. Products, services and quotations
The Site does not sell products online. Materials, custom development, licensing and related services are supplied only under a separate written quotation, purchase order, license or agreement signed by IMS or its commercialization partner, NovaVera Corporation. If those documents conflict with these Terms, the signed documents control.
3. Technical information and research results
Performance data, program results, readiness levels and application examples on the Site describe specific studies, prototypes or programs. Results depend on composition, formulation, integration, reader design and conditions of use, and may not be reproduced in other settings. Nothing on the Site is medical, safety, regulatory or engineering advice. You are responsible for evaluating whether any material is suitable and safe for your intended use.
4. Intellectual property
The Site and its content, including text, graphics, images, video, logos, the Intelligent Material® name and the IMS logo, are owned by IMS or its licensors and protected by copyright, trademark, patent and other laws. You may view and print pages for your own non-commercial reference. You may not copy, modify, republish, distribute or create derivative works from Site content without our prior written permission. No license to any IMS patent, trademark or other intellectual property is granted by your use of the Site.
5. Acceptable use
You agree not to: use the Site unlawfully; attempt to gain unauthorized access to the Site or our systems; interfere with the Site's operation; submit false, misleading or harmful information through our forms; or use automated tools to copy the Site's content.

Some IMS technologies and technical data may be subject to U.S. export control laws, including the Export Administration Regulations and the International Traffic in Arms Regulations. These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-law rules. Courts located in New Jersey have exclusive jurisdiction over any dispute arising from these Terms or the Site.
