Intelligent Material Solutions, Inc. ("IMS") develops engineered materials used in authentication, diagnostics, defense and other demanding applications. Our customers rely on the integrity of our supply chain. This Code sets out the standards we expect from every supplier, subcontractor, consultant and partner that provides goods or services to IMS ("Suppliers"). It supports our ISO 9001 quality management system.
1. Legal compliance
Suppliers must comply with all laws and regulations that apply to their business and to the goods and services they provide to IMS, in every country where they operate.
2. Business integrity
- Anti-corruption. No bribery, kickbacks or improper payments of any kind, directly or through third parties, consistent with the U.S. Foreign Corrupt Practices Act and similar laws.
- Gifts and hospitality. Must be modest, infrequent and never intended to influence a business decision.
- Conflicts of interest. Suppliers must disclose any relationship that could create a conflict of interest with IMS or its employees.
- Fair competition. Suppliers must compete fairly and comply with antitrust and competition laws.
- Accurate records. Invoices, certificates of conformance, test reports and other records must be complete, accurate and retained as required.
3. Quality
- Deliver goods and services that meet agreed specifications, drawings and purchase-order requirements.
- Maintain an appropriate quality management system and provide traceability for materials, lots and processes when requested.
- Notify IMS in advance of any change to materials, processes, sub-tier sources or manufacturing location that could affect form, fit, function or quality.
- Promptly report nonconformances and cooperate with corrective action.
- Allow IMS, and where required its customers, reasonable access to audit relevant facilities and records.
4. Counterfeit and suspect materials
Suppliers must not supply counterfeit, suspect or misrepresented parts or materials. They must source from original manufacturers or authorized channels, keep documentation of provenance, and notify IMS immediately if counterfeit or suspect items are discovered.
5. Export control, sanctions and government work
Suppliers must comply with U.S. export control and sanctions laws, including the Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR). Export-controlled technical data received from IMS may not be shared with any foreign person or third party without the required authorization. Suppliers supporting U.S. government programs must comply with the flow-down clauses in their purchase orders, including applicable FAR/DFARS requirements and cybersecurity obligations for Covered Defense Information and Controlled Unclassified Information.
6. Confidentiality and intellectual property
Suppliers must protect IMS confidential information and intellectual property, use it only to perform work for IMS, and return or destroy it when the work ends. Suppliers must respect the intellectual property rights of others.
7. Information security and privacy
Suppliers that handle IMS data or connect to IMS systems must use reasonable technical and organizational safeguards, report security incidents affecting IMS data without undue delay, and comply with applicable data protection laws.
8. Labor and human rights
- No forced, bonded, indentured or prison labor, and no human trafficking.
- No child labor. Workers must meet the minimum legal working age.
- Fair wages, benefits and working hours in line with applicable law.
- No harassment, abuse or unlawful discrimination.
- Respect for workers' lawful rights of freedom of association.
9. Health and safety
Suppliers must provide a safe and healthy workplace, manage chemical and material hazards responsibly, and provide accurate Safety Data Sheets and handling information for materials supplied to IMS.
10. Environment
Suppliers must hold required environmental permits, manage waste and emissions responsibly, and comply with regulations on restricted substances. Where requested, they must support responsible-sourcing inquiries, including conflict minerals and rare-earth supply-chain due diligence.
11. Reporting concerns
Suppliers and their employees may report suspected violations of this Code to info@intelligentmaterial.com. IMS will not tolerate retaliation against anyone who raises a concern in good faith.
12. Compliance
IMS may ask Suppliers to confirm compliance with this Code and may review compliance. Failure to meet this Code may result in corrective action or termination of the business relationship. This Code supplements, and does not replace, the terms of any purchase order or agreement.
